Most "free" cap table software is a trial with a countdown or a free tier with the useful parts locked: convertibles behind an upgrade, round modeling behind another, the audit trail reserved for paying customers. Aportia is free for now in the plain sense — the whole product, no credit card, no cap on shareholders or projects. This page explains what that includes, so you can judge it against your actual cap table rather than a feature grid.

There is no "free plan" and "pro plan" split. Every project gets the same product: the live cap table, every equity transaction, the instruments investors ask about and the documents that go with them. You can invite your cofounders, give your lawyer read access and run your next round without hitting a paywall halfway through.
A spreadsheet stores the current state. Aportia stores the transactions that produced it — every issuance, transfer and conversion with its date, price and author — and derives the table from them. That is what lets you answer "what did the cap table look like before the seed round?" in one click, and it is what a due diligence team expects to see. The timeline and the audit trail come out of the same history, so they can never disagree with the table.
History is the feature
Investors don't only ask who owns what today. They ask how it got there. A ledger answers both; a snapshot answers neither for long.
Early-stage cap tables get complicated in predictable places. Aportia models SAFEs (pre- and post-money) and convertible notes with valuation cap, discount and interest, and converts them at a single round price per share, the way the standard YC documents define it. Share classes carry their own rights, so preferred shares behave like preferred shares in the waterfall. The option pool, phantom shares and vesting grants live in the same project as the shares they dilute.
The round simulator lets you set a pre-money valuation, an investment amount, a target pool and the outstanding convertibles, and shows the post-round cap table for every shareholder before anything is recorded. The exit waterfall does the same for a sale: enter an exit value and see who receives what once preferences, participation and convertibles are applied. Both are free, and both run on your real cap table instead of a toy example.
The share register, certificate and legal notes adapt to the company's jurisdiction and legal form — a Spanish S.L. records participaciones, a Delaware C-Corp records shares, a UK Ltd keeps a register of members. Aportia currently supports companies in Spain, the United States, the United Kingdom, Germany, France, Italy, Portugal, Ireland, Mexico, Chile and Colombia, plus a generic profile for anywhere else.
If your founding team hasn't fixed the split yet, you can switch a project to dynamic equity: contributions of time, cash and assets are tracked with configurable multipliers, and ownership updates as the work happens. When you're ready, you freeze it into a normal, static cap table. It is an option you turn on, not a requirement — most projects never use it.
Yes. For now Aportia is free: no credit card, no trial countdown and no limit on shareholders or projects. If that ever changes, existing users will be told well in advance.
Usually a locked feature set or an upsell. Aportia doesn't split the product into tiers — convertibles, round simulation, the waterfall and the audit trail are all included. Your data isn't sold, and you can export the register and the audit trail to PDF at any time.
Yes. The onboarding lets you start from your current ownership — enter each shareholder's holdings as of today and Aportia records it as the opening position, so the history starts clean from there.
It depends on the software, not the price. What due diligence needs is a dated history of every transaction, a share register that matches it and documents that tie back to both. That is exactly what the audit trail and register exports are for.
